Please read these Terms of Service carefully before using the Prism Service.
1. Acceptance of Terms
By accessing or using the services of Prism Technologies, Inc. ("Prism", "we", "us", or "our"), including our website, web application, and any associated functionality (collectively, the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

3. Description of the Service
Prism is a read-only cryptocurrency portfolio analytics dashboard. The Service aggregates publicly available blockchain data and organises information you provide into a consolidated portfolio view. Prism does not custody assets, does not hold private keys, cannot execute transactions, and is not a broker, exchange, or fiduciary. Prism does not provide financial, investment, tax, or legal advice.
4. Eligibility
To use the Service you must be at least 18 years old, have the legal capacity to enter into binding contracts, and not be located in a jurisdiction where use of the Service is prohibited. Prism may restrict access at any time for compliance reasons.
5. Accounts
You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You may not share account access with third parties. Notify us immediately of any unauthorised use at [email protected].
6. Subscription Plans and Billing
Prism offers three plans: Free (no charge), Pro ($12/month or annual discount), and Vault ($49/month or annual discount). Billing is monthly or annual depending on the chosen plan, with automatic renewal. You may cancel at any time from your account settings; you retain access until the end of the current period. Payments are processed through Stripe. Refund policy: full refund within 14 days of first paid charge for new subscribers; pro-rata refund for annual plans within the first 30 days; no refund for partial months thereafter. Price changes are communicated with 30 days' notice. Failed payments trigger a 7-day grace period before downgrade to the Free plan.
7. Licence to Use
Prism grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with these Terms and subject to your plan limits (wallet count, data history retention). You may not sublicence, resell, modify, or use the Service for unlawful purposes.
8. Acceptable Use
You agree not to: (a) reverse-engineer or decompile the Service; (b) use the Service for illegal activity; (c) overload our infrastructure through automated scraping; (d) impersonate another person or entity; (e) interfere with the security or integrity of the Service; (f) attempt to access other users' data.
9. Intellectual Property
Prism owns all intellectual property rights in the platform, including software, design, and content. You retain ownership of your data. By using the Service you grant Prism a licence to process your data to provide the Service.
10. User Data
Prism primarily processes the wallet addresses you connect, together with associated publicly available blockchain data. You have the right to export your data at any time from your account settings. For more detail see our Privacy Policy.
11. Third-Party Services
The Service relies on third-party RPC providers, blockchain indexers, payment processors, and tax data providers. Prism is not responsible for the accuracy, availability, or conduct of those third parties.
12. No Financial, Investment, Tax, or Legal Advice
The Service is analytical software, not advice. Nothing in the Service constitutes financial, investment, tax, or legal advice. Prism is not a registered investment adviser. Always consult a qualified professional before making investment or tax decisions.
13. Tax Reports
Tax reports generated by Prism are software output for informational purposes only. They do not constitute tax advice. Tax law varies by jurisdiction and changes over time. You are responsible for the accuracy of your tax filings. Always consult a qualified tax professional.
14. Service Availability
Pro and Vault plans target 99.5% monthly uptime. The Free plan has no SLA. The Vault plan includes service credits for material outages. Availability may be affected by scheduled maintenance and circumstances outside our reasonable control.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISM'S TOTAL LIABILITY SHALL NOT EXCEED $100 USD OR THE FEES PAID IN THE LAST 12 MONTHS, WHICHEVER IS GREATER. PRISM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
17. Indemnification
You agree to indemnify and hold harmless Prism and its officers, employees, and agents from any claims arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your infringement of any third-party rights.
18. Termination
You may cancel your account at any time. Prism may suspend or terminate your account with notice for non-cause, or immediately for material breach of these Terms. Following termination you will have a grace period to export your data.
19. Modifications
Prism may modify the Service or these Terms with notice. Continued use of the Service following notice constitutes acceptance of the changes.
20. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved by binding arbitration under the AAA Commercial Arbitration Rules, seated in San Francisco, CA. Class action and jury trial rights are waived. Small claims court exceptions apply.
21. California-Specific Provisions
If you are a California resident, you may have additional rights under the California Civil Code and the CCPA/CPRA. Please see our Privacy Policy for further information.
22. General Provisions
If any provision of these Terms is found to be invalid, the remaining provisions remain in effect. Prism may assign these Terms; you may not without our consent. These Terms together with the Privacy Policy constitute the entire agreement between the parties. Prism shall not be liable for delays or failures caused by events outside its reasonable control (force majeure).
